Growth is a key ingredient to a company's success. Inorganic growth is a method used by companies to expand to reach new markets, to acquire intellectual property, to gain market share (to name a few).
While one can control what one owns, one cannot predict what has been done prior to the acquisition. The complexity of mergers and acquisitions (M&A) transactions demands skilled and dedicated advisors who can identify risks and opportunities and add value throughout the lifecycle of a deal. Our specialized expertise, broad resources, global network and intellectual capital deliver integrated strategies and solutions for managing business risks. Our team is available 24/7 - before, during and after a transaction, ensuring a successful merger or acquisition.
Our M & A team will help you to identify potential risks surrounding the deal and provide you with risk transfer solutions specific to those risks.
We can help you with the following products/services:
Insurance Due Diligence
Our Mergers & Acquisitions Solutions Group is the leading provider of insurance due diligence advice to the private equity community and strategic buyers in the Asia-Pacific region. Our objective is to complement the work of other advisers, by identifying insurable risk and cost issues that would not otherwise be considered in depth but which will have an impact on financial modeling, deal price negotiations and acceptance of liabilities by a buyer, in addition to helping our clients understand how well the assets and earnings of the target company are protected, comparative to best standards. We access the global knowledge and expertise of the entire Aon group to ensure that our clients are properly advised on the issues arising and the best way of overcoming these, so they can complete their transactions
Warranties and Indemnities Insurance
Through a Warranty & Indemnity (W&I) Insurance policy, buyers and sellers can insure all or part of the liability that might arise from breaches of warranties, rather than solely looking to seller indemnification. This may facilitate smaller escrow amounts, allowing the seller to distribute more of the proceeds to the investors at the time of the sale. For buyers, a W&I policy can be an attractive alternative when the seller is resistant to a higher indemnity cap or has limited resources to fund its indemnification obligations.
